Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and Icosahedron (“Icosahedron,” “we,” “us,” or “our”) governing your access to and use of the Icosahedron desktop application, browser extension for Google Chrome, Microsoft Edge, and Firefox, mobile application, server daemon, websites, and related services (together, the “Service”). By downloading, installing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Icosahedron is a password and credential manager that provides encrypted storage for passwords, API keys, tokens, and other secrets, and runs the credential tasks you authorize, such as signing in, rotating a credential, or cancelling a subscription. The Service is designed so that your vault is encrypted on your device and remains inaccessible to us, as described in our Privacy Policy.

2. Eligibility and Accounts

You must be at least 16 years old and able to form a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account and, in particular, your master password. Because of our zero-knowledge design, we cannot recover your master password or decrypt your vault on your behalf. If you lose your master password and any recovery method you have configured, you may permanently lose access to your data. You are responsible for all activity that occurs under your account.

3. Free Trial and Subscriptions

The Service is currently available by invitation only. The Service may be offered with a 22-day free trial. Paid features require a subscription. Prices, billing intervals, and features are described at the point of purchase. Subscriptions renew automatically unless cancelled before the end of the then-current term. Except where required by law, payments are non-refundable. We may change prices with reasonable notice, effective at your next renewal. If your trial or subscription lapses, your entries remain listed with their values hidden and you can export your vault at any time; we never hold your data hostage.

4. License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Service for your personal or internal business purposes. You may not copy, modify, distribute, sell, lease, reverse engineer, or attempt to extract source code from the Service except to the extent permitted by law.

5. The Extension, Credential Tasks, and the Server Daemon

The browser extension, desktop application, and server daemon act on your behalf to fill credentials, hand secrets to the processes you authorize, and perform credential tasks that you configure or initiate. You are responsible for the credentials you store and the actions you authorize, and for ensuring you have the right to access any systems, accounts, or services you connect. You agree to use the automation features only with systems you own or are authorized to access.

6. Acceptable Use

You agree not to use the Service to:

• Store or transmit credentials you are not authorized to possess or use.
• Access, probe, or automate against systems without authorization.
• Violate any applicable law or the rights of others.
• Distribute malware, or interfere with or disrupt the integrity or performance of the Service.
• Attempt to circumvent security, rate limits, or usage controls.
• Resell or provide the Service to third parties except as expressly permitted.

7. Third-Party Services

The Service interoperates with third-party websites, tools, and platforms that are governed by their own terms. We are not responsible for third-party services, and your use of them is at your own risk and subject to their agreements.

8. Intellectual Property

The Service, including its software, design, and trademarks, is owned by Icosahedron and its licensors and is protected by intellectual-property laws. These Terms do not grant you any rights in our intellectual property except the limited license described above. You retain all rights in your own data.

9. Disclaimers

The Service is provided “as is” and “as available”without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure. You are responsible for maintaining your own backups and recovery methods.

10. Limitation of Liability

To the maximum extent permitted by law, Icosahedron and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, access, profits, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us for the Service in the twelve months before the claim or USD $100.

11. Indemnification

You agree to indemnify and hold harmless Icosahedron from any claims, liabilities, damages, and expenses (including reasonable legal fees) arising from your misuse of the Service, your violation of these Terms, or your infringement of any rights of a third party.

12. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or if necessary to protect the Service or other users. Upon termination, the licenses granted to you end, and sections that by their nature should survive will survive.

13. Changes to the Terms

We may update these Terms from time to time. Material changes will be posted here with an updated effective date and, where appropriate, communicated to you. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of the jurisdiction in which Icosahedron is established, without regard to conflict-of-laws rules, and the courts of that jurisdiction will have exclusive jurisdiction over disputes, except where applicable law provides otherwise.
